Delaware LLC Privacy, Myth or Reality?

In three words: It is Legit.

In hiring our services our name and address will appear on the certificate as incorporators (as we are doing it on your behalf) along with the Registered Agent’s name and address. One of the corporate documents that comprises your first appointment of officers also includes our resignation as incorporators handing over the LLC directly to you on a fully PRIVATE document. From the very beginning, your identity is not a matter of public record.

In addition, Delaware does not require LLC’s to file the names and addresses of their members or officers and we can remain as the contact person - or any other person that you determine -on your Registered Agent’s account, which is also private.

Once formed, a Delaware LLC will not be required by default to disclose or provide the names or contact information of their members and/or Directors to the State, and the annual report pretty much consists in paying your Franchise State Tax which is a flat $300. Other States such as California require LLC’s to list ALL their member names and addresses in the yearly Statement of Information.

By comparison, Corporations ARE required in Delaware to file and provide the names of ALL its Directors and ONE Officer, but not those of shareholders.

As much as privacy and confidentiality are highly regarded and respected in Delaware because of their importance in legitimate business enterprises; this huge benefit comes with responsibilities. Authorities and law enforcement will punish and investigate if Delaware entities are used to commit fraud or other unlawful behaviors.

In conclusion, PRIVACY AND CONFIDENTIALITY are a real thing in Delaware and are used by many investors and business people around the world. Join this select group and order your LLC or Corporation today!
