Registered Agent - A requirement.

There is a lot of misleading information out there on the topic of Registered Agents. As it is the norm in our blog, we make it simple and we cut straight to the chase.

  1. Also referred to as Agent of Process or Statutory Agent in some States, this is a designated party with a physical address in the State of formation or incorporation that is going to receive any legal notices or documents on behalf of your LLC or Corporation and will then forward them on to you.

  2. Regulations vary from State to State but what is certain is that you’ll always need one regardless of the State in which you are registering your business. All 50 States require you to have one and there is no way around it.

  3. Some States like California allow you to list yourself, as an individual, to act as your Process of Service Agent. Many of our clients choose to appoint us, or one of our corresponding agents, to acts as their Registered Agent instead to protect their privacy. Whoever you choose to list, their names and addresses will appear on public records.

  4. What sort of documents or notices you may receive via your Registered Agent? Any official notices from the State ranging from filing reminders to tax notices. It will also be the point of contact for process service should a lawsuit is filed against your company.
